Terms of Service

This Software License Agreement (the "Agreement") is made between the user (the "Licensee") and the proprietors of VTRL software (the "Licensor"), collectively referred to as the "Parties." 1. Grant of License The Licensor grants the Licensee a limited right to utilize the VTRL software, henceforth referred to as the "Software," under a non-exclusive and non-transferable agreement. The extent of the license includes the lawful use of the Software according to the stipulations within this Agreement and remains valid for either the Software's operational lifespan or a period of ninety-nine (99) years from the Effective Date, contingent upon which duration concludes earlier. 2. Scope of License The Licensee's utilization of the Software is bound by the conditions set forth below: a. The Licensee may install and operate the Software on two computing devices, which shall be linked to a specific hardware identification numbers (HWIDs). b. The Licensee is authorized to disseminate the executable version of the Software (file type: EXE), given that such distribution remains strictly non-commercial and that the Software's original code and functionality retain their integrity, free from modifications. 3. Restrictions The Licensee is expressly prohibited from partaking in any of the following acts with respect to the Software: a. Adapting, translating, modifying, or otherwise generating derivative works from the Software. Such inhibition includes creations that might be considered patentable. b. Decompiling, disassembling, reverse engineering, or otherwise trying to unveil or access the source code of the Software. c. Selling, renting, leasing, lending, sublicensing, assigning, publishing, distributing, or otherwise provisioning the Software or any of its intrinsic functionalities to third parties for any rationale. d. The elimination or concealment of any proprietary notices or markings inherent to the Software. 4. HWID Reset The Licensee may request a reset of the HWID linked to their user account, thereby permitting the Software's use on a different machine. The Licensor maintains absolute discretion in these matters, including the right to reject such petitions without mandatory disclosure of reasoning. 5. No Refund Policy All sales of the VTRL Premium software are final. The Licensor does not provide refunds or credits for any reason, including but not limited to, lack of satisfaction with the Software, failure to understand its functionality, or technical incompatibility with the Licensee's devices. By agreeing to this Agreement, the Licensee acknowledges and agrees that they will not be entitled to any refunds or credits at any time. 6. Intellectual Property The Software, along with all related intellectual property rights, including copyrights, trademarks, and trade secrets, shall persist as the solitary property of the Licensor. Under no circumstances shall the Licensee claim any ownership interests in the Software by virtue of this Agreement. 7. Disclaimer of Warranties The Software is furnished to the Licensee "AS IS," with no warranties whatsoever. The Licensor expeditiously renounces all warranties, be they explicit, implicit, statutory, or otherwise, including, but not limited to, any implicit warranties of merchantability or suitability for a particular usage, and non-infringement. The Licensor also explicitly denies any tacit warranties that might inadvertently be conferred through transactional relationships or the habitual deployment of the Software. 8. Limitation of Liability The Licensor shall not be liable for any damages, including but not limited to incidental, special, indirect, or consequential damages, arising out of or in connection with the use or inability to use the Software. The Licensee assumes full responsibility for any damage to their computer system or loss of data that results from the use of the Software. 9. Termination This Agreement will terminate immediately, without notice from the Licensor, if the Licensee fails to comply with any provision of this Agreement. Upon termination, the Licensee must cease all use of the Software and destroy all copies of the Software in their possession or control. 10. Miscellaneous a. This Agreement constitutes the entire agreement between the Parties regarding the use of the Software and supersedes all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter. b. No amendment to or modification of this Agreement will be binding unless in writing and signed by the Licensor. c. If any provision of this Agreement is held to be unenforceable or invalid, that provision will be enforced to the maximum extent possible, and the other provisions will remain in full force and effect. 11. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, without giving effect to any choice or conflict of law provision or rule. 12. Account security You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. If you are under 18, you may use our product only with involvement of a parent or guardian. VTRL and its associates reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in their sole discretion. By proceeding with the installation, duplication, or any utilization of the Software, the Licensee unreservedly acknowledges their complete comprehension of this Agreement, adheres to its stipulations, consents to its execution, and obliges themselves to its binding nature as of 12 September 2024.
